1. Definitions
1.1 “Platform” means the services operated by ii Corporation (Cayman Islands, company no. 368693) under the brand “Zoop”.
1.2 “Creator” means a natural or legal person who has registered on the Platform, accepted the Platform’s Terms and Conditions, and is in good standing.
1.3 “Referrer” means a Creator that participates in the Program by sharing their unique referral link.
1.4 “Referred Creator” means a Creator who registers on the Platform using a Referrer’s unique link and is validly attributed to that Referrer under clause 5.
1.5 “Eligible Earnings” means the gross revenue actually received by Zoop from a Referred Creator’s activity on the Platform, excluding (i) chargebacks, refunds, and reversed transactions, (ii) taxes collected on Zoop’s behalf, (iii) amounts withheld under sanctions or anti-fraud screening, and (iv) any third-party processing fees that Zoop is required to pass through.
1.6 “Tier 1” means a direct referral by the Referrer of a Referred Creator. “Tier 2” means a referral made by a Tier 1 Referred Creator of a further Creator.
2. Eligibility
2.1 Participation is open to active Creators. Zoop employees and contractors of ii Corporation are subject to a separate internal referral policy and are not eligible under these Terms.
2.2 A Referrer must be in good standing under the Platform’s Terms and Conditions at the time the corresponding Eligible Earnings accrue. Suspension or termination of the Referrer’s account suspends or terminates entitlement to commissions, as applicable.
3. Commission
3.1 Tier 1. The Referrer earns five per cent (5%) of the Eligible Earnings of each Referred Creator, payable for five (5) years from the Referred Creator’s registration date.
3.2 Tier 2. The Referrer earns two and a half per cent (2.5%) of the Eligible Earnings of each Tier 2 Creator, payable for five (5) years from that Tier 2 Creator’s registration date.
3.3 Commissions are funded by Zoop and do not reduce the Referred Creator’s revenue share.
3.4 No cap applies to commissions payable under the Program, subject to the clawback and good-standing provisions of clauses 2.2 and 7.
4. Calculation and payment
4.1 Commissions accrue as Eligible Earnings are recognised by Zoop and become payable monthly in arrears.
4.2 Payment is made in the currency and through the payment method made available by Zoop from time to time, as designated for the Referrer’s account. The Referrer shall provide and keep current such payment details (including wallet address, bank account, or other payment instrument) as Zoop reasonably requires.
4.3 Payment is conditional on (i) successful KYC and sanctions screening, (ii) the Referrer being in good standing, and (iii) the Referred Creator’s earnings having cleared all chargeback and refund windows.
5. Attribution
5.1 Attribution operates on a first-click basis: the Referred Creator is attributed to the Referrer whose link was used at the time of registration.
5.2 The following are excluded from the Program: (i) self-referrals and circular referrals, (ii) Creators already in onboarding or under negotiation with Zoop at the time the link is used, (iii) referrals procured through unsolicited communications, misrepresentation of the Platform, or use of Zoop’s trade marks in paid advertising without prior written consent.
6. Tax
6.1 The Referrer is solely responsible for all taxes arising on commissions received and shall provide such tax documentation as Zoop may reasonably require.
6.2 Zoop may withhold or report amounts where required by applicable law.
7. Clawback
7.1 Zoop may set off, withhold, or recover commissions paid where: (i) the Referred Creator’s earnings are reversed, refunded, or charged back; (ii) the referral was procured in breach of clause 5.2; (iii) the Referrer or the Referred Creator commits fraud or breaches the Platform’s Terms and Conditions, the Community Guidelines, or applicable law.
8. Modification and termination
8.1 Zoop may modify these Terms or terminate the Program at any time with thirty (30) days’ notice. Commissions accrued before the effective date of any modification or termination remain payable under the Terms in force at the time of accrual, subject to clause 7.
9. Relationship
9.1 Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Zoop and any Referrer beyond the relationship expressly established under the Platform’s Terms and Conditions.
10. Governing law and jurisdiction
10.1 These Terms are governed by the laws of the Cayman Islands and subject to the exclusive jurisdiction of the courts of the Cayman Islands, without prejudice to any mandatory consumer protections.
