1. Introduction

Welcome to the Zoop Telegram Mini App (“App”), a gamified experience powered by Zoop that enables users to spin the wheel, complete quests, and earn ZOOPIES, which can later be used in the Zoop core app for additional engagement and rewards.

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Zoop (“Company,” “we,” “our,” or “us”). By accessing, registering for, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must discontinue use of the App immediately.

2. Eligibility Requirements

To use the Zoop Telegram Mini App, you must:

  • Be at least 18 years of age or the legal age of digital consent in your jurisdiction, whichever is higher.
  • Maintain a valid and active Telegram account in good standing.
  • Comply with all applicable laws, regulations, and restrictions in your country of residence.
  • Not be a resident of or located in any jurisdiction where participation in token-related activities is prohibited.
  • Not be subject to sanctions, prohibitions, or restrictions under any applicable law or regulation.

Zoop reserves the right to verify your eligibility at any time and deny or terminate access to any user who fails to meet these eligibility criteria or provides false information regarding their eligibility.

3. Description of Services

The Zoop Telegram Mini App provides a gamified rewards experience through the following core functionalities:

Spin the Wheel: Participate in a chance-based reward mechanism to win ZOOPIES and other digital rewards based on predetermined probability distributions.

Quest Completion: Engage with platform activities, creators, and events to earn ZOOPIES through targeted task completion.

Cross-Platform Integration: Connect seamlessly to the Zoop Core App (Zoop.com) to continue accumulating ZOOPIES through deeper ecosystem engagement.

Referral Program: Invite new users to the platform and receive bonus ZOOPIES for each successful referral who completes specified onboarding activities.

Token Conversion: Convert accumulated ZOOPIES into Zoop Points during designated conversion periods, enhancing your participation in the Zoop ecosystem.

Zoop retains the right to modify, enhance, limit, or discontinue any feature, functionality, or aspect of the App at its sole discretion without prior notification. Service availability may vary by region and is subject to technical, regulatory, and business considerations.

4. User Accounts & Wallet Integration

4.1 Account Requirements

  • A valid and active Telegram account is required to access and use the App.
  • You must provide accurate, current, and complete information during the registration process.
  • You are solely responsible for maintaining the confidentiality of your account credentials.
  • Any activity occurring under your account will be deemed to have been authorized by you.

4.2 Wallet Integration

  • Certain features may require connection to a compatible digital wallet.
  • You assume full responsibility for the security of your wallet, private keys, and seed phrases.
  • Zoop does not store, have access to, or control your private keys or wallet credentials.
  • You acknowledge that Zoop bears no responsibility for any loss of tokens, points, or funds resulting from wallet security breaches, user error, or third-party wallet provider issues.

5. Earning and Redeeming Rewards

5.1 Earning ZOOPIES in the Mini App

Users can earn ZOOPIES through multiple mechanisms:

Spin the Wheel: Rewards are distributed based on predefined probability algorithms with varying reward tiers. Spin availability may be time-limited or subject to daily/weekly limits.

Quest Completion: Users earn specified ZOOPIES amounts by completing designated platform activities, which may include engagement with creators, participation in events, content interaction, or community activities.

Referral Program: Users receive bonus ZOOPIES when new users join through their unique referral link and complete qualification activities. Referral rewards are subject to verification and anti-fraud measures.

5.2 Cross-Platform Engagement

  • Users are encouraged to extend their earning potential by connecting to the Zoop Core App.
  • The Core App provides additional earning methods, including content engagement, creator subscriptions, premium features, and specialized promotional activities.
  • Cross-platform synchronization ensures a unified ZOOPIES balance across all Zoop properties.

5.3 Converting ZOOPIES to Zoop Points

  • ZOOPIES can be converted to Zoop Points according to conversion rates established solely by Zoop.
  • Conversion rates are determined by Zoop based on internal metrics and may fluctuate over time.
  • Pre-Token Generation Event (TGE): Conversions occur at the conclusion of each season as defined and announced by Zoop.
  • Post-TGE: Conversion opportunities will be determined at Zoop’s discretion and may operate under modified parameters or schedules.
  • Users must actively signal their conversion intent through the application interface during designated conversion windows.
  • Minimum and maximum conversion thresholds may apply.

5.4 Redeeming ZoopCoin ($ZOOP)

  • Zoop Points may be exchanged for ZoopCoin at rates determined exclusively by Zoop.
  • Conversion availability and rates are subject to change based on market conditions, regulatory requirements, and strategic considerations.
  • Token distribution may be subject to vesting schedules, lockup periods, or gradual release mechanisms.
  • Once claimed, ZoopCoin can be utilized within the Zoop ecosystem for various utilities or traded on supported exchanges.
  • Zoop reserves the right to implement additional requirements for token redemption, including but not limited to KYC/AML verification.

Zoop maintains absolute discretion to modify, adjust, or restructure the reward system at any time without prior notification.

6. Acceptable Use Policy

6.1 Prohibited Activities

Users expressly agree NOT to engage in any of the following activities:

  • Use automated tools, bots, scripts, or any programmatic methods to interact with the App.
  • Exploit technical vulnerabilities, bugs, or system limitations to obtain unintended rewards.
  • Create multiple accounts to circumvent limitations or maximize rewards unnaturally.
  • Generate fraudulent engagement, including fake referrals, artificial activity, or engagement farming.
  • Buy, sell, trade, or transfer ZOOPIES, Zoop Points, or associated rewards outside of authorized platform mechanisms.
  • Engage in any form of market manipulation, collusion, or coordinated activity designed to influence token value or distribution.
  • Post, share, or distribute content that is illegal, infringing, offensive, harmful, or violates third-party rights.
  • Attempt to reverse engineer, decompile, or otherwise attempt to extract the source code of the App.

6.2 Enforcement

Zoop reserves the right to:

  • Monitor for suspicious or prohibited activity.
  • Investigate any account suspected of violating these Terms.
  • Take appropriate action against violations, including but not limited to:
    • Warning the user
    • Temporarily suspending account access
    • Permanently terminating accounts
    • Revoking or nullifying earned rewards
    • Restricting future participation in the Zoop ecosystem
    • Pursuing legal remedies when appropriate

7. Intellectual Property Rights

All content, features, and functionality within the App, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and code, are the exclusive property of Zoop or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for its intended purpose as described in these Terms. This license does not include any right to:

  • Reproduce, distribute, publicly display, or publicly perform any content from the App.
  • Modify, adapt, translate, or create derivative works based on the App or its content.
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
  • Use content mining, robots, or similar data gathering and extraction methods.
  • Utilize the intellectual property in any manner not expressly permitted by these Terms.

Any unauthorized use automatically terminates the permission or license granted by Zoop.

8. Risk Disclaimer and Limitation of Liability

8.1 General Risks

By using the App, you explicitly acknowledge and accept the following risks:

Randomized Mechanics: The spin-the-wheel feature and other reward mechanisms incorporate elements of chance and probability. Results are final and non-negotiable.

Market Volatility: ZoopCoin ($ZOOP) is a utility token whose value may fluctuate significantly based on market conditions, ecosystem development, regulatory changes, and other factors beyond Zoop’s control.

No Investment Representation: ZOOPIES, Zoop Points, and ZoopCoin are utility mechanisms, not investments, securities, or financial instruments. No promise of future value or return is expressed or implied.

Technological Risks: The App and associated blockchain technologies may experience technical issues, including but not limited to system outages, delays, or security vulnerabilities.

Regulatory Uncertainty: Changes in laws, regulations, or policies regarding digital assets may impact the functionality or availability of the App and its features.

8.2 Limitation of Liability

To the maximum extent permitted by applicable law:

  • Zoop shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App.
  • Zoop’s total liability for any claim arising from these Terms or your use of the App shall not exceed the amount you have paid to Zoop (if any) in the six months preceding the claim.
  • Zoop makes no warranties or representations regarding the reliability, accuracy, or availability of the App.
  • Zoop disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

You specifically acknowledge that Zoop shall not be liable for user content or the defamatory, offensive, or illegal conduct of any third party, and that the risk of harm or damage from such content or conduct rests entirely with you.

9. Data Privacy and Security

9.1 Data Collection and Use

Zoop collects and processes certain information when you use the App, including:

  • Basic account information (Telegram ID, username)
  • App usage statistics and engagement metrics
  • Reward earning and redemption activity
  • Referral tracking and associated metrics
  • Wallet addresses (when connected)
  • Device information and technical identifiers

This information is used to:

  • Provide and improve the App’s functionality
  • Track and distribute rewards accurately
  • Prevent fraud and abuse
  • Analyze usage patterns to enhance user experience
  • Communicate relevant updates and opportunities

9.2 Security Measures

Your continued use of the App following any modifications constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must cease using the App immediately.

  • Add, remove, or adjust features and functionalities
  • Implement technical changes or improvements
  • Temporarily suspend or permanently discontinue the App or specific services

11. Dispute Resolution and Governing Law

11.1 Informal Resolution

In the event of any dispute arising from or relating to these Terms or your use of the App, you agree to first attempt to resolve the dispute informally by contacting Zoop through the channels provided in Section 12.

11.2 Arbitration

If a dispute cannot be resolved informally within 30 days, it shall be referred to and finally resolved by binding arbitration administered by the London Court of International Arbitration under its rules in effect at the time of the arbitration. The arbitration shall:

  • Be conducted by a single arbitrator
  • Take place in London, United Kingdom
  • Be conducted in the English language
  • Be kept confidential by all parties

11.3 Governing Law

These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

11.4 Class Action Waiver

You waive any right to participate in a class action lawsuit or representative action with respect to claims arising from these Terms or your use of the App.

13. Final Provisions

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.

13.3 No Waiver

Zoop’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Zoop.

13.4 Assignment

Zoop may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer your rights under these Terms without Zoop’s prior written consent.
