ZOOP Live — Terms of Use

1. About these Terms

These Terms of Use (the “App Terms”) govern your access to and use of the Zoop Live mobile application (the “App”), operated by ii Corporation, an exempted company incorporated in the Cayman Islands (company no. 368693) (“ZOOP”, “we”, “us”).

The App is part of the ZOOP services. The ZOOP Platform Terms & Conditions (the “Platform Terms”), available at https://zoop.com/terms-and-conditions/, are incorporated into these App Terms by reference. If there is a conflict between the Platform Terms and these App Terms in relation to the App, these App Terms prevail.

You must meet the eligibility requirements of the Platform Terms, including the minimum age, to use the App. By downloading, accessing or using the App, you agree to these App Terms. If you do not agree, do not use the App.

2. Definitions

  • “ZOOP Account” means your registered account for the ZOOP services.
  • “Ticket” means an electronic admission ticket for an event, issued by or on behalf of the relevant event organiser and delivered to your App.
  • “Ticketing Partner” means the third-party ticketing service designated as the official seller of Tickets for a given event, as identified in the App with each Ticket.
  • “Zoopies” means the promotional reward points made available within the ZOOP services, as described in Section 9.

3. Your account

The App does not use a separate account. You sign in to the App with your ZOOP Account, and the App is linked to that single account.

Certain ZOOP Account information, such as your profile details, is displayed in the App on a read-only basis. You cannot edit that information in the App; to update it, use the ZOOP app or the account settings of the ZOOP services. Changes made there will be reflected in the App.

You are responsible for keeping your login credentials confidential and for all activity under your ZOOP Account, and you must notify us promptly of any unauthorised use.

4. What the App does

The App allows you to:

  • receive and store Tickets delivered to your ZOOP Account;
  • display Tickets, including any barcode or QR code, for admission to events;
  • transfer Tickets to other users, where transfer is enabled (Section 6); and
  • view certain information relating to your ZOOP Account and your Zoopies balance.

The App is a storage and display tool only. You cannot purchase Tickets in the App, and ZOOP does not sell Tickets for any event.

5. Tickets, sales and refunds

The App can store Tickets for any supported event, worldwide. Tickets are sold exclusively by the Ticketing Partner designated for each event. Your purchase of a Ticket is a contract between you and the Ticketing Partner and/or the event organiser, governed by their terms and conditions, which are linked in the App with each Ticket. ZOOP is not the seller, issuer, promoter or organiser of any event and is not a party to your Ticket purchase.

Refunds. Tickets are refundable in accordance with the applicable Ticketing Partner’s terms and applicable law. All refund requests must be made to the Ticketing Partner through the channel identified in the App with your Ticket. ZOOP does not process payments or refunds and cannot issue refunds through the App.

The validity of a Ticket, admission conditions, event changes, postponements and cancellations are determined by the event organiser and the applicable Ticketing Partner terms. The App only displays the Ticket as issued to you.

6. Transferring Tickets

Where the transfer function is enabled for a Ticket, you may transfer that Ticket to another person using the in-app transfer function only. Upon completed transfer, the Ticket is removed from your App and you no longer have any rights in it.

Transfers may be subject to conditions set by the event organiser or the applicable Ticketing Partner, for example limits on the number of transfers, recipient verification, or restrictions on resale, as displayed in the App with the relevant Ticket.

We may suspend or reverse a transfer, or invalidate a Ticket in the App, where we reasonably suspect fraud, abuse or breach of these App Terms or the applicable Ticketing Partner terms, acting on the instructions of the organiser or the Ticketing Partner.

7. Event-specific information

For each Ticket, the App displays the event-specific information you need: the identity of the Ticketing Partner and links to its terms and privacy policy, the refund channel, any transfer conditions set by the event organiser or the Ticketing Partner, and any admission requirements. Admission conditions, including age limits, security screening and entry requirements imposed by the venue or local authorities, are set by the event organiser and the venue.

8. Geographic availability

The App, and certain features and content within it, may not be available in all countries. We may use your device settings, IP address or account information to determine availability.

9. Zoopies

Zoopies are promotional reward points within the ZOOP services. Zoopies have no monetary value, are not legal tender, electronic money, a deposit, a payment instrument, a security or a crypto-asset, and cannot be redeemed, exchanged or converted for cash or for any other asset. Zoopies are not transferable outside the ZOOP services and may be modified, suspended or withdrawn by ZOOP at any time in accordance with the Platform Terms.

10. Acceptable use

You must not: use the App for any unlawful purpose; copy, alter, forge or duplicate any Ticket or barcode; interfere with or attempt to circumvent security or access controls; use automated means to access the App; or use the App in a manner that infringes the rights of ZOOP, any Ticketing Partner, event organisers or third parties.

11. Intellectual property

The App, and all content, software, trade marks and materials in it, are owned by ZOOP or its licensors. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the App on a compatible device for your personal, non-commercial use, in accordance with these App Terms. No other rights are granted.

12. Privacy

Our processing of your personal data in connection with the App is described in the ZOOP Privacy and Cookies Policy, available at https://zoop.com/privacy-and-cookies-policy, and in particular in the ZOOP Live section of that Policy. If you are in a country covered by a country-specific addendum to that Policy, the additional information for your country also applies. Each Ticketing Partner processes your personal data in connection with Ticket purchases as an independent controller under its own privacy policy, as identified in the App with your Ticket.

13. Availability, changes and updates

We provide the App on an “as available” basis and do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue the App or any feature of it, and may release updates that you must install to continue using the App. Where a change materially affects your rights, we will give you reasonable advance notice where required by law.

14. Liability

Nothing in these App Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or your mandatory rights as a consumer under the laws of your country of residence.

Subject to the above: ZOOP is not liable for the sale, validity, availability or refund of Tickets, or for the conduct of any event, all of which are the responsibility of the event organiser and/or the applicable Ticketing Partner; and ZOOP is not liable for losses that were not foreseeable to you and us when these App Terms were accepted, or that were not caused by our breach. Any limitation or cap on liability set out in the Platform Terms applies equally to your use of the App.

15. App store terms

If you downloaded the App from the Apple App Store or Google Play, the applicable app store’s terms also apply, and the following applies to the extent required by them:

  • these App Terms are concluded between you and ZOOP only — not with Apple Inc. or Google LLC — and ZOOP, not Apple or Google, is solely responsible for the App and its content;
  • ZOOP, not Apple or Google, is responsible for maintenance and support of the App, for any product warranties to the extent not disclaimed, and for addressing any claims by you or a third party relating to the App, including product liability, legal or regulatory compliance and consumer protection claims;
  • in the event of any failure of the App to conform to an applicable warranty, you may notify Apple and Apple will refund any purchase price paid for the App (the App is free of charge, so no refund will be due); to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App;
  • you represent that you are not located in a country subject to a relevant government embargo or designated as a “terrorist supporting” country, and that you are not on any relevant government list of prohibited or restricted parties, and you will comply with applicable export laws;
  • Apple and its subsidiaries are third-party beneficiaries of these App Terms and may enforce them against you; and
  • questions, complaints or claims regarding the App should be directed to ZOOP at the contact in Section 19.

16. Suspension and termination

We may suspend or terminate your access to the App in accordance with the Platform Terms, including where you materially breach these App Terms. You may stop using the App at any time by deleting it; Tickets remain governed by the applicable Ticketing Partner terms.

17. Changes to these App Terms

We may amend these App Terms from time to time. The current version will always be available in the App and at https://zoop.com/zoop-live-terms-of-use. For material changes we will notify you in advance through the App or by other reasonable means, and your continued use after the effective date constitutes acceptance, without prejudice to any right you may have to reject the change and stop using the App.

18. Governing law and disputes

These App Terms are governed by the laws of England and Wales, without prejudice to any mandatory provisions of the law of your country of residence. Disputes will be resolved as set out in Section 24 of the Platform Terms.

If you are a consumer, nothing in these App Terms, including Section 24 of the Platform Terms, deprives you of the protection of the mandatory laws of your country of residence, of the right to bring proceedings before the courts of that country where its law so provides, or of access to any court or consumer dispute-resolution body that mandatory law makes available to you, including where such law does not permit consumer disputes to be submitted to arbitration. If you reside in the European Union, your national consumer bodies remain available to you.
